The websites and services that link to these Terms (collectively, the “Site”) are operated by Grid Heap, Inc., a Delaware corporation (“Grid Heap”, “us”, “our” or “we”). They apply together with the product-specific information for the service you use.

Read the common terms together with the product-specific provisions below. Those provisions control a conflict for the named product. A separately signed agreement, order form or data processing agreement controls a conflict within its scope. These Terms do not extinguish accrued rights, change an accepted arbitration opt-out or retroactively alter a notified dispute.

By using a Service under these Terms, or accepting them when presented, you agree on behalf of yourself or the entity you represent and confirm your authority to do so. If you do not agree, do not use the Service. Account-based Services are for people aged 18 or older unless their product provisions state otherwise.

1. Accounts

  1. Creating an Account. Some features of the Site may require you to register for an account. When you register, you agree to provide accurate and complete information and to keep that information current. You can delete your account at any time by following the instructions on the Site. We may suspend or terminate your account as described in Section 8.
  2. Account Security. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. If you believe your account has been accessed without your authorization, please notify us immediately. We are not liable for any losses resulting from your failure to keep your credentials secure.

2. Access to the Site

  1. License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal or internal business purposes, subject to any applicable product license.
  2. Restrictions. You may not: (i) license, sell, rent, lease, transfer, assign, distribute, or commercially exploit the Site or any content on it; (ii) modify, create derivative works from, disassemble, reverse-compile, or reverse-engineer any part of the Site; (iii) access the Site in order to build a similar or competing product or service; or (iv) copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Site except as expressly permitted by these Terms. All copyright and proprietary notices on the Site must be kept intact on any copies you are permitted to make. These restrictions do not limit your rights in customer content or activities permitted by an applicable product license or mandatory law, including protected research, comparison and interoperability.
  3. Changes to the Site. We may modify, suspend, or discontinue the Site (or any part of it), subject to any applicable product provisions or separately signed agreement about notice, continuity, termination or refunds. This clause does not remove a refund, consumer remedy or other right that applies under those provisions or mandatory law.
  4. Support and maintenance. Any support or maintenance commitments in the applicable product provisions or a separately signed agreement apply. Otherwise, we have no obligation to provide support or maintenance for the Site.
  5. Ownership. All intellectual property rights in the Site and its content – including copyrights, patents, trademarks, and trade secrets – belong to Grid Heap or its suppliers. These Terms do not transfer any ownership rights to you, except for the limited access rights in Section 2.1. All rights not expressly granted are reserved.
  6. Feedback. If you share feedback or suggestions about the Site with us, you grant us a perpetual, irrevocable, worldwide, non-exclusive, fully-paid, royalty-free license to use that feedback freely, in any manner and for any purpose, without attribution. Please do not submit any feedback that you consider proprietary or confidential.

Customer content, AI and connected accounts

You retain your rights in the content you provide. You authorize us to host, reproduce, transmit, process and display that content as needed to provide and secure your requested Service, subject to the product-specific restrictions below. You must have the rights and permissions necessary to provide the content, connect accounts and instruct actions involving other people’s information.

AI output can be inaccurate, incomplete or non-unique. Review it before publication, deployment or a consequential action. You are responsible for your instructions, authorized tools and required human oversight. Providing the Service does not grant us a general right to train models on your content; the Privacy Policy and product provisions describe applicable provider processing.

Use Services lawfully. Do not infringe intellectual-property or privacy rights, distribute malware, commit fraud, harass others, send unlawful unsolicited messages, obtain unauthorized access, circumvent security controls or materially disrupt the Service. These restrictions do not prohibit lawful research, comparison or interoperability activities protected by law. More specific acceptable-use and authorization restrictions appear below.

For copyright notices, contact legal@gridheap.com with identification of the work, the allegedly infringing material and its location, your contact information, a good-faith statement, a statement of accuracy and authority under penalty of perjury, and your signature. A counter-notice must identify the removed material, provide your contact information and signature, state under penalty of perjury that removal resulted from mistake or misidentification, and include the jurisdiction and service-of-process consent required by law. Where applicable, material may be restored after 10–14 business days unless we receive notice of a court action. We may terminate repeat infringers.

Fees, cancellation and refunds

For paid features, fees, billing arrangements, usage allowances, cancellation and refund conditions are those stated in the applicable product provisions and any accepted plan, order form or separately signed agreement. Cancellation does not by itself determine whether an earlier payment is refundable. Any product-specific refund entitlement, billing correction or remedy required by mandatory law remains available. A rule for one product does not apply to another merely because both link to these Terms.

3. Privacy

Your use of the Site is also governed by our Privacy Policy, which is available at Privacy Policy and is incorporated into these Terms by reference. The Privacy Policy describes the types of personal data and other information we collect from you or your device, how we use that information, and the circumstances under which we may share it with third parties.

  1. Processing of Personal Data. By using the Site, you acknowledge that you have read and understand our Privacy Policy and that Grid Heap will process your personal data and other information in accordance with the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy with respect to the collection, use, or processing of your personal data, the Privacy Policy will control.
  2. Cookies and Tracking Technologies. The Site may use cookies, web beacons, pixels, and similar tracking technologies (“Tracking Technologies”) to collect information about your use of the Site. For details on what Tracking Technologies the Site uses, what information they collect, and how you can manage your preferences, please refer to our Cookie Policy.

4. Indemnification

You agree to defend, indemnify, and hold harmless Grid Heap and its officers, employees, and agents from any claims and reasonable costs or attorneys’ fees arising out of (i) your use of the Site, (ii) your violation of these Terms, or (iii) your violation of any applicable law or regulation. This obligation does not cover claims caused by our own breach, negligence or unlawful conduct. We may assume control of the defense of any such claim at your expense, and you agree to cooperate with our defense. You agree not to settle any such claim without our prior written consent. We will make reasonable efforts to notify you promptly of any claim we become aware of.

5. Third-Party Services & Other Users

  1. Third-Party Services. The Site may include links to or integrations with third-party websites or services, or may display third-party advertisements (collectively, “Third-Party Services”). We do not control, endorse, or take responsibility for any Third-Party Services. You use all Third-Party Services at your own risk, and you acknowledge and agree that the applicable third party’s own terms and privacy practices will apply to such use.
  2. Other Users. Your interactions with other users of the Site are solely between you and those users. We are not responsible for any loss or harm resulting from those interactions, and we reserve the right, but have no obligation, to get involved in disputes between users.
  3. Release. To the fullest extent permitted by law, you release Grid Heap and its officers, employees, agents, successors, and assigns from all claims, demands, and damages of any kind arising out of or related to the Site, other users, or Third-Party Services. If you are a California resident, you waive California Civil Code Section 1542, which provides: “A general release does not extend to claims which the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor or released party.”

6. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, GRID HEAP AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL CODE. Nothing in these Terms excludes or limits a warranty or other right that cannot lawfully be excluded or limited.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) GRID HEAP AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, COSTS OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SITE; AND (B) OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS IS CAPPED AT THE GREATER OF (i) $50 USD AND (ii) THE AMOUNT PAID TO GRID HEAP BY YOU UNDER THESE TERMS IN THE SIX MONTHS PRIOR TO THE INCIDENT GIVING RISE TO THE CLAIM. THE EXISTENCE OF MULTIPLE CLAIMS DOES NOT INCREASE THIS CAP. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

8. Term and Termination

These Terms remain in effect while you use the Site. We may suspend or terminate your access where reasonably necessary for a violation of these Terms or applicable law, security, or discontinuation of the Site. The product-specific provisions below govern notice, refunds and termination for that product. Upon termination, Sections 2.2 through 2.6 and Sections 3 through 11 will survive.

The provisions in this Section 9 apply only to users to the extent such users are subject to the laws of the applicable states identified below. If a provision in this section conflicts with another provision of these Terms, the state-specific provision controls for users subject to that state’s laws.

  1. California. If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, at 1625 N. Market Blvd. Suite N112, Sacramento, CA 95834, or by phone at (800) 952-5210. Under California Civil Code Section 1789.3, California users of the Site are entitled to the following specific consumer rights notice: The provider of the Site is Grid Heap, Inc., 1111B S Governors Ave Ste 51059, Dover, DE 19904, United States. To file a complaint regarding the Site, or to receive further information regarding use of the Site, send a letter to the above address or contact us at legal@gridheap.com. You may also contact the Complaint Assistance Unit at the address and phone number above. If you are a California resident, you may have additional rights under the California Consumer Privacy Act (as amended by the California Privacy Rights Act), including the right to know what personal information we collect, the right to delete your personal information, the right to correct inaccurate personal information, and the right to opt out of the sale or sharing of your personal information. For details on how to exercise these rights, please see our Privacy Policy at Privacy Policy.
  2. Colorado. If you are a Colorado resident, you may have additional rights under the Colorado Privacy Act (CPA), including the right to opt out of the processing of your personal data for purposes of targeted advertising, the sale of personal data, and certain profiling. For details, please see our Privacy Policy.
  3. Connecticut. If you are a Connecticut resident, you may have additional rights under the Connecticut Data Privacy Act (CTDPA), including rights of access, correction, deletion, and data portability, as well as the right to opt out of the sale of personal data, targeted advertising, and profiling. For details, please see our Privacy Policy.
  4. Virginia. If you are a Virginia resident, you may have additional rights under the Virginia Consumer Data Protection Act (VCDPA), including the right to access, correct, delete, and obtain a copy of your personal data, and the right to opt out of the processing of your personal data for targeted advertising, sale, or profiling. For details, please see our Privacy Policy.
  5. Nevada. If you are a Nevada resident, you have the right under Nevada Revised Statutes Chapter 603A to direct us not to sell certain information we have collected or will collect about you. To exercise this right, please contact us at legal@gridheap.com.
  6. Other States. Applicable mandatory consumer and privacy rights remain available. See our Privacy Policy.

10. General

  1. Changes to Terms. We may update these Terms from time to time. If we make material changes, we may notify you by email (at the address on file) or by a prominent notice on the Site. Your continued use of the Site after notice of changes means you accept the updated Terms.
  2. Governing Law. These Terms and any dispute arising out of or related to these Terms or the Site will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Subject to Section 11 and mandatory consumer rights, you and Grid Heap irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware. Notwithstanding the foregoing: (a) either party may bring an action in any court of competent jurisdiction for injunctive or other equitable relief to protect its intellectual property rights (including patents, copyrights, trademarks, and trade secrets); and (b) either party may bring an individual action in small claims court for claims within that court’s jurisdictional limits.
  3. Export. You agree not to export, re-export, or transfer any technical data or products acquired from the Site in violation of U.S. export control laws or applicable regulations in other countries.
  4. Electronic Communications. By using the Site, you consent to receiving communications from us electronically (by email or notices posted on the Site). These electronic communications satisfy any legal requirement for written notice.
  5. Accessibility. Grid Heap is committed to making the Site accessible to all users, including individuals with disabilities. We endeavor to conform to the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA, as published by the World Wide Web Consortium (W3C). If you experience any difficulty accessing or navigating the Site, or if you have suggestions for improving accessibility, please contact us at legal@gridheap.com. We will make reasonable efforts to address accessibility concerns promptly.
  6. Entire Agreement. These Terms (together with the Privacy Policy and any other policies or guidelines referenced herein) are the entire agreement between you and Grid Heap regarding your use of the Site. If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to be valid, and the remaining provisions will continue in effect. Our failure to enforce any provision is not a waiver of that provision. The word “including” means “including without limitation.” You may not assign these Terms without our prior written consent; we may assign them freely. These Terms bind any permitted assignees.
  7. Copyright/Trademark. Copyright © 2026 Grid Heap, Inc. All rights reserved. All trademarks, logos, and service marks displayed on the Site are owned by Grid Heap or third parties. You may not use any of them without prior written consent from the owner.
  8. Contact Information: Grid Heap, Inc., a Delaware corporation. 1111B S Governors Ave Ste 51059, Dover, DE 19904, United States. legal@gridheap.com.

11. Dispute resolution

Send a written dispute notice to legal@gridheap.com or our business address in Section 10.8, identifying your account, the relevant facts and the remedy sought. We will try in good faith to resolve it informally. Unless the product-specific provisions below require arbitration, either party may pursue an unresolved dispute in the courts described in Section 10.2. Urgent relief, small-claims proceedings and timely action needed to preserve a claim remain available.

JAMS arbitration, where incorporated

The following JAMS procedure applies only when the applicable product-specific provisions expressly incorporate it. For that Service, disputes covered by the accepted arbitration agreement are resolved by binding individual arbitration through JAMS, rather than a court trial. The agreement covers claims relating to the Service or these Terms, including pre-acceptance claims within its agreed scope. Each party waives a jury trial for arbitrable claims. Individual small-claims actions and claims seeking injunctive relief for intellectual-property infringement are excluded.

Before arbitration, send the written notice described above and participate in a good-faith telephone or video meeting within 45 days unless both parties extend that period. Either party may begin arbitration after 60 days of the informal process. A demand must include contact information, the facts, relief sought, a good-faith damages estimate and compliance with the notice and filing requirements.

JAMS Streamlined Arbitration Rules apply to claims below US$250,000; JAMS Comprehensive Arbitration Rules apply at or above that amount. JAMS Consumer Arbitration Minimum Standards apply where required. Hearings take place in your county of residence or remotely as the applicable rules permit. Filing, administration and arbitrator fees are allocated under those rules and mandatory law. A court decides disputes about class-waiver enforceability, the applicable agreement/version, fee obligations and compliance with pre-arbitration conditions; the arbitrator decides other arbitrable issues.

Claims must be brought individually. The arbitrator cannot consolidate unrelated parties’ claims or conduct a class or representative proceeding unless both parties agree. If the individual-proceedings restriction is unenforceable for a claim, that claim proceeds in court and any enforceable individual arbitration continues separately. Mandatory consumer rights remain available.

You may opt out by sending legal@gridheap.com a clear written opt-out within 30 days of first accepting the applicable arbitration agreement, including your name, address and account email. An effective opt-out remains effective after consolidation. A change to arbitration terms does not apply retroactively to a dispute already notified.

Product-specific additions

The following provisions apply to the named products together with this policy. They control a conflict with a common provision for that product.

RShift

rshift.com · rshift.de · accounts.rshift.com · app.rshift.com

Workspaces, content and integrations

Workspace administrators manage membership, permissions and connected accounts. Keep passwords, access keys and integration credentials secure. You authorize RShift to process workspace projects, brand knowledge, custom skills, prompts, media, reviews, approvals, automation and notifications to provide, secure and maintain your requested workflows. You retain your content rights and grant the limited worldwide, non-exclusive processing license needed for those purposes.

Connect only accounts you are authorized to use. Integration providers have their own terms and permissions; their availability and approval are not guaranteed. Review AI results for accuracy, brand requirements, advertising rules, disclosures and legal compliance before use. Outputs may be non-unique or unprotectable. Do not disable required watermarks, provenance or audit controls. High-risk uses require independent licenses and safeguards.

Fees, confidentiality and liability

The selected plan or order form specifies prices, trials, usage limits, taxes and overages. Stripe processes payment credentials. Accrued fees are generally non-refundable except as agreed in writing or required by law. We may restrict overdue accounts after reasonable notice.

Each party protects the other’s non-public business information with reasonable care and uses it only for the agreed Service. This excludes information publicly available without breach, already lawfully known, lawfully received from another source or independently developed. Legally compelled disclosure is permitted, with advance notice where lawful.

RShift’s aggregate liability cap is the greater of the amount paid in the preceding 12 months and US$1,000, replacing the common six-month/US$50 cap. Mandatory liability and remedies remain available. Signed order forms and data processing agreements control conflicts within their scope. Material changes to core paid rights require applicable notice or consent.

Disputes

Covered disputes are resolved by one arbitrator under AAA Commercial Arbitration Rules in Wilmington, Delaware, in English. Arbitration is individual, with no class or representative proceedings; if that waiver is unenforceable, the arbitration agreement is void except for its small-claims and intellectual-property injunction exceptions. Either party may bring those excepted proceedings in a competent court.

You may opt out within 30 days of first accepting the arbitration agreement by emailing legal@gridheap.com with the subject “Arbitration Opt-Out”, your full name and account email. A timely opt-out leaves disputes to the state and federal courts in Wilmington, subject to mandatory law. Delaware law applies; the UN Convention on Contracts for the International Sale of Goods does not apply. Effective earlier opt-outs remain effective.

TidyAnswer

tidyanswer.com

Messaging and enterprise workflows must comply with applicable consent, sender registration, carrier and platform rules. You are responsible for authority to use customer-provided accounts, credentials and messaging content. Signed enterprise, carrier and channel agreements control the commitments within their scope.

TidyMessages

tidymessages.com

Use TidyMessages for lawful business messaging and approved customer workflows. You are responsible for consent, registration, templates, message content and compliance with carrier and platform policies. Provider, carrier and platform charges may be separate. Preview access does not promise general availability or a service-level agreement. Signed pilot and production agreements control product-specific commitments.

Speech Name

speech.name

Audio and verification

You must own or have permission to process the audio you submit. You grant the limited rights needed to mark audio, calculate fingerprints and retain issuance and verification records. Detection may fail after severe editing, for short excerpts or because of format, threshold or other errors. A watermark signal does not prove speaker identity, ownership, authorization, consent or trademark rights and must not be the sole evidence for a high-stakes decision.

Handles and disputes

Handles contain 3–30 lowercase letters, numbers or single hyphens. Each account may have one active profile. We may reserve, restrict, suspend, rename or reassign a handle for legal, security or verification-integrity reasons.

Send a handle complaint to legal@gridheap.com with the handle, your claim, supporting evidence and a safe reply address. We consider issuance records, use, legal rights and risk; no automatic priority or response deadline is promised. We may restrict a profile, disable public verification, rename or remove it. A complaint does not automatically transfer a handle. New evidence can support reconsideration. Renaming does not alter marks embedded in previously issued audio; unresolved verification must not be used to guess identity.

Planner.li

planner.li

Planner.li grants an individual, non-transferable license for your own controlled devices. Distribution-store terms govern purchases made through that store. Beta features can change; keep your own backups.

Paid plans are recurring subscriptions in USD at the price shown at checkout, plus applicable tax. They renew until canceled. Cancellation takes effect at the end of the paid billing period, with access continuing through that period. Price changes require advance notice. Applicable store refund rules and mandatory consumer rights control refunds.

You retain your notes, plans, contacts, financial imports and other content; the processing license is limited to hosting, synchronization, backup and display for your requested features. We do not use this content to train general-purpose AI models. Authorize calendar, contact and financial connections only within your rights.

The JAMS arbitration provisions in Section 11 apply, including the opt-out and mandatory consumer exceptions. If 100 or more substantially similar demands are submitted within 30 days, they are administered in batches of up to 100 under the applicable batching procedure, subject to mandatory law.

Enola

eno.la

Membership and authorized actions

Enola is invite-only for adults aged 18 or older, with one account per real person, a non-transferable invitation and an authorized mobile number. Automated accounts are prohibited. Early access is free; a future charge requires your agreement.

Enola prepares research and tasks. It does not enter payment details, place orders or pay autonomously. You complete checkout, sign-in and human verification using your own wallet or secure browser handoff. An outgoing email is sent only after you confirm the exact draft. Merchants remain responsible for their transactions. You retain content rights; our limited processing license ends on deletion except for required records. We do not train models on your content. AI output remains subject to third-party rights and review. Do not use Enola for unlawful activity, spam, harassment, deception or unauthorized actions, or as emergency, medical or other professional advice.

SMS opt-in is separate from account registration, accepting Terms or making a purchase. The web checkbox starts unchecked. Selecting “Text me” records consent but sends nothing; you must text START or initiate a message to the invited program number. Enola never starts a conversation and only messages the member, rather than other people on the member’s behalf. Messages are requested replies, one-time reminders, task updates and account notices, with no marketing. Frequency varies; carrier message/data charges can apply and delivery is not guaranteed.

  • Help: text HELP or INFO.
  • Stop: text STOP, STOPALL, UNSUBSCRIBE, CANCEL, END or QUIT. Opt-out applies across the program’s SMS, RCS and WhatsApp channels and cancels pending reminders. One confirmation and the carrier’s own required notice may follow. Opt-out does not delete your account or data.
  • Rejoin: text START, UNSTOP or YES.
  • Local stop keywords: ARRET, STOPP, ABMELDEN, BAJA, CANCELAR, PARAR, ANNULLA, AFMELDEN, SAIR, WYPISZ, ODHLASIT, AFMELD, AVSLUTT, STOPPA, AVSLUTA, LOPETA and DEZABONARE.
  • Local help keywords: AIDE, AYUDA, HILFE, AIUTO, AJUDA, POMOC, HJAELP, HJELP, HJALP, APUA and AJUTOR. Matching is case- and accent-insensitive; replies are in English.

Messaging is offered in the United States, Canada, Mexico, United Kingdom, Ireland, Austria, Belgium, Czech Republic, Denmark, Finland including Åland, France, Germany, Italy, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Spain, Sweden and Singapore, subject to channel availability. Mobile opt-in data and consent are not sold or shared for marketing or promotion; delivery providers receive only what is needed to deliver requested messages. Material changes to Enola terms receive 14 days’ notice by text or email.

Liability and disputes

The Enola liability cap is the greater of amounts paid in the preceding 12 months and US$100. Mandatory exceptions remain available.

For US users, unresolved disputes proceed to individual binding arbitration under AAA Consumer Arbitration Rules after 60 days of good-faith informal resolution through legal@gridheap.com. Hearings may be remote or in your county of residence. Individual small-claims actions and intellectual-property injunctions are excluded. Jury trials and class proceedings are waived for arbitrable claims. AAA Mass Arbitration Rules apply where 25 or more similar demands qualify. An unenforceable claim proceeds in court. You may opt out within 30 days of first acceptance by sending your name, phone number and clear opt-out statement to legal@gridheap.com. Earlier effective opt-outs remain effective.

For non-US users, disputes are handled in applicable courts with local mandatory consumer protections and available consumer ADR. These Terms do not impose arbitration, jury or class-action waivers on those users.

AgentMQ

agent.mq

Connections and purchases

AgentMQ operates authorized agent workflows. You must have authority to connect accounts, provide credentials and instruct actions. A purchase approval covers the specified merchant, items, amount, currency and terms; it is not standing authority for later spending. You use your own payment account and secure checkout. We are not a bank, stored-value issuer or card issuer. Unless we are expressly identified as seller, the merchant controls fulfillment, warranties and purchase refunds. Reconcile an uncertain payment before retrying.

Legacy allowances and refunds

Legacy paid platform allowances expire 12 months after purchase. A successful paid operation consumes allowance; a failed request does not. Retired call packs are not offered for new purchases and are not funds held for merchant purchases.

A legacy purchase is refundable within 14 days if no successful paid operation has used it. After use, refunds are limited to required consumer remedies or billing corrections. Promotional allowances have no cash value. Approved refunds return through the original payment method after account and transaction verification, revoke the refunded allowance and remain subject to bank settlement times. There is no double recovery through a refund and chargeback.

The JAMS arbitration provisions in Section 11 apply to AgentMQ, including the 30-day opt-out and mandatory consumer exceptions.

Agentic.Pay

agentic.pay

Connections and purchases

Agentic.Pay provides authorized purchase execution.

The shared legacy allowance and refund provisions also apply to Agentic.Pay legacy platform purchases. These cover platform allowances; merchant purchase refunds remain governed by the merchant as described above.

The JAMS arbitration provisions in Section 11 apply to Agentic.Pay, including the 30-day opt-out and mandatory consumer exceptions.

Inference.Pay

inference.pay

Compute and content

You control your containers, model weights, configurations and endpoints and must hold the required rights, secure credentials and provide your own application notices. You authorize storage and execution of that content for requested compute, not model training. No capacity, backup or service-level guarantee applies unless separately agreed; keep your own copy. Lawful research, evaluation and interoperability are permitted subject to security and intellectual-property law.

Billing and refunds

GPU compute is charged per second at the published tier. Running or scheduled resources can accrue charges; scale-to-zero follows product controls. Stop or delete resources you no longer need. Top-ups are one-time prepaid purchases, with no automatic top-up or subscription. Paid balance does not expire, is not money held in a bank, earns no interest and is not transferable between products. Rate changes apply to future use and do not reduce existing balance.

Request a refund of unused paid balance within 14 days of purchase. A completely unused purchase is fully refundable, including its checkout fee. Consumed amounts and promotional credit are not refundable except for billing corrections, service failures or mandatory law. Paid balance remains usable after the refund window. We correct missing credit, duplicate charges and metering errors; do not purchase again merely because confirmation is delayed.

Provide the account email, receipt/reference, purchase date and reason without credentials. Approved refunds are submitted to the original payment method within five business days; bank settlement can take longer. Refunded amounts are deducted from balance. Account closure or discontinuation does not automatically forfeit unused paid credit, subject to charges lawfully owed and applicable remedies. Mandatory withdrawal and consumer rights remain available.

Acceptable use and disputes

Do not obtain unauthorized access, bypass safety/security restrictions, interfere with other tenants, distribute malware or use unprotected sensitive/high-risk workloads. These restrictions do not prohibit lawful, authorized research. The JAMS arbitration provisions in Section 11 apply, including the 30-day opt-out and mandatory consumer exceptions.

Bots.Pay

bots.pay · accounts.bots.pay

Agents, credentials and authorized actions

Bots.Pay runs cloud coding agents with persistent workspaces, handles and API access. Authorized agents may execute commands, install tools, read, edit or delete files, use external tools, push branches, create pull requests, send messages and deploy with granted access, without approval of every step. Hidden instructions in content can mislead agents. Review outputs before merging or releasing, constrain permissions and keep backups. Availability or permanent entitlement to a handle is not guaranteed; handles may be restricted or reassigned for lawful or security reasons.

GitHub automatic PR review is chargeable. Repository tokens are short-lived and access can be revoked in GitHub or the console. MCP bpt_ tokens are shown once, stored hashed and revocable; protect them and any Stripe MPP purchase token. You authorize actions and spending within permissions you grant. For connected messaging, obtain permission, honor opt-outs and disclose automation where required.

Credits, prices and refunds

One credit unit equals US$0.001. There is no top-up fee. Model and tool operations are billed at the applicable usage rates shown by Bots.Pay; compute uses the selected hourly rate with a minimum of 60 seconds. Warm-up can start when you type and incur compute charges even if the message is never sent. Holds settle to actual charges and unused holds are released; concurrency limits can queue work.

Packs are US$0.01 (PayPal only), $5, $10 and $25. A $1 signup allowance and first top-up match of up to $5 are discretionary, once per person, have no cash/refund value and can be removed for abuse or reversed payment. Paid credit does not expire; there is no automatic top-up or subscription, and no cross-product transfer. Price changes apply to future use.

Unused paid credit can be refunded within 14 days, including partial unused amounts after outstanding holds settle. Consumed credit—including warm-up and runs without a successful result—and promotions are non-refundable except for errors, service failures or mandatory law. Closure does not itself forfeit unused paid balance; if we discontinue the service, unused paid credit remains refundable even after 14 days. Applicable EEA/UK withdrawal rights remain available, less consumed service where law permits, using the more favorable applicable remedy.

A chargeback can freeze related credit. If the buyer wins, disputed credit is removed. If we win, restoration is available on request rather than automatic. Used disputed credit can remain restricted while the dispute is unresolved; there is no double recovery.

Content and acceptable use

You retain input rights. We assign to you any rights we have in outputs to the extent permitted by law, subject to third-party rights and non-unique outputs. Grid Heap does not train models on your content. Third-party providers may use content for improvement unless their applicable terms or settings exclude it; use the selected model’s disclosed conditions.

Do not escape containers, obtain provider keys, mine cryptocurrency, crack passwords or use unrelated compute; distribute malware, unlawful sexual content or non-consensual intimate content; manipulate repositories, PRs or stars deceptively; send spam; impersonate others; or use agents for unlawful weapons, election manipulation or prohibited high-risk harm. Good-faith security research on your own resources or with written permission is permitted if it does not degrade others and allows responsible remediation.

Disputes

Bots.Pay has no arbitration requirement. Send a written dispute notice to legal@gridheap.com and attempt informal resolution for 60 days, after which either party may proceed in courts under Section 10.2, subject to mandatory local consumer rights. This does not prevent urgent relief or timely preservation of a claim. Liability exclusions do not cover fraud, willful misconduct, death/personal injury from negligence or other non-excludable liability.

AI Evals

aievals.app

AIEvals is a free public reference site for adults, with no account, checkout, public posting or hosted evaluation/model runtime. You may read, link to and make reasonable quotations for personal or commercial research and reporting, subject to law and third-party rights. Attribute underlying figures to their publisher and preserve source links. Do not imply AIEvals performed another party’s benchmark, that a publisher endorses you, or that free access puts sources in the public domain. Lawful comparison, research and interoperability are permitted. Results, versions and methods can change; check cited sources before purchase, deployment or safety decisions. These Terms do not require arbitration; the common informal-resolution and court provisions apply.

AI Agent Pay

aiagent.pay

AI Agent Pay lists shopping services and prepares requests through Enola and the execution service. A listing is not an endorsement, partnership or guarantee of stock, price or fulfillment. Approve the actual merchant, items, amount, currency, taxes, shipping and transaction terms before checkout; a budget or cart is not standing authority for future purchases. Only fees shown and agreed apply; a directory listing does not create a prepaid balance. The merchant is responsible for its transaction, refunds and consumer obligations unless we are expressly the seller. Reconcile uncertain payment before retrying. These Terms do not require arbitration. Send a written dispute notice for good-faith informal resolution; unresolved claims proceed in courts under Section 10.2, subject to mandatory rights and urgent relief.

4dub

4dub.com · accounts.4dub.com

Service and content

4dub is for adults aged 18 or older, with one account per person. It accepts narrated MP4 videos up to 2 GB and two hours in supported source languages and produces dubbed audio in a supported target language with available stock synthetic voices. It does not provide lip-sync, voice cloning or image generation/changes. Obtain necessary content rights and consent of identifiable people, and make required synthetic-media disclosures.

You retain your content rights and grant only the license needed to provide, secure and support requested dubbing. Neither Grid Heap nor its engaged providers use your content/output for model training or publish it. Do not submit sexual or intimate content, impersonate a real person without consent, harass, promote hate, commit fraud, distribute malware or abuse free-credit/account restrictions.

Prices, credit and refunds

The first dub costs US$3.00 per minute; a rerender costs US$0.60 per minute. Charges use the full video length rounded up to the next 0.1 minute, with the amount shown before confirmation. Line previews and rewrites are free subject to fair use.

Trial credit is US$12.60, once per person/email, non-transferable, with no cash or refund value. Paid packs start at US$30, are prepaid rather than subscriptions and expire after 24 months. The merchant of record identified at checkout and on the receipt handles payment, sales tax/VAT/GST and payment disputes. Unused-pack refunds are considered case by case subject to mandatory rights. Failed or timed-out jobs automatically return all held credit. Deleting your account forfeits remaining credit except where law requires otherwise.

Media retention and discontinuation

Projects and media are deleted after 12 months without sign-in, following a 30-day email warning; signing in keeps them active. Account and credit records follow separate retention rules. Keep your own backups. If we discontinue the entire service, we give 30 days’ email notice to download media and request a refund of unused paid credit. Termination for reasons unrelated to your breach includes a refund of unused paid credit. Mandatory warranties remain available; a 90-day warranty applies where required by applicable law.

Disputes

Covered disputes proceed to individual binding arbitration under AAA Consumer Arbitration Rules. First send legal@gridheap.com a written notice with your name, account email, facts, requested relief and a good-faith damages estimate; participate in a telephone/video meeting within 45 days, and allow 60 days for informal resolution. Complete the notice and applicable filing/fee requirements before demanding arbitration.

Hearings may be in your county of residence or remote. Individual small-claims actions and intellectual-property injunctions are excluded. AAA Mass Arbitration Rules apply to 25 or more qualifying similar demands. Applicable AAA rules and mandatory law allocate fees; each party bears its own attorneys’ fees unless law or a frivolous-claim rule permits otherwise. Arbitration documents are confidential except as needed for law, advice or enforcement.

Arbitrable claims waive jury trial and proceed individually, with no class or representative proceeding. A court decides class-waiver enforceability, fees, applicable agreement/version and preconditions. An unenforceable claim proceeds in court with other enforceable individual arbitration continuing separately. Delaware courts apply subject to mandatory local rights. You may opt out within 30 days of first acceptance by emailing legal@gridheap.com your name, account email and a clear opt-out statement; effective earlier opt-outs remain effective.

AIRuntime

Routes and customer agreements

Use only workspaces, credentials, models, data and provider access that your organization is authorized to use. Do not bypass provider safety controls, billing limits or an approved Runtime Route policy, or use a custom runtime as an unrestricted authenticated proxy. Keep secrets and customer payloads out of support and metadata-only evidence channels.

An authorized external trial is governed by its signed order or approved channel agreement. These provisions do not announce general availability of self-service or Marketplace purchasing. A signed order or private offer controls negotiated quantities and commercial terms; applicable channel transaction terms control the purchase through that channel. Model and cloud requirements apply to the route and edition selected.

nnu.us

nnu.us

Saved knowledge, sharing and source access

You retain your submitted content and instructions. The limited service license permits fetching, conversion, extraction, analysis, summarization, translation, indexing and display needed to provide, secure, maintain and improve the requested service. It ends on deletion, subject to technical deletion time, backups, legal holds and the retention described in the Privacy Policy. You are responsible for source rights, configured Watches and Recipes, recipients and Agent permissions. Do not bypass authentication, paywalls, robots restrictions, access controls or provider rate limits. Extracted text, Watch findings and AI output may be inaccurate, incomplete or delayed; review them before consequential use.

New Saved Items are private by default. A readable Space alias or public Profile does not publish your Library. Sharing uses a separate, revocable Share Grant; its optional password is an access control, not end-to-end encryption. Revocation cannot recall copies already received. Legacy global short links retain their documented public behavior. Review and revoke Agent scopes; source material and model output may contain malicious instructions.

Subscriptions and closure

Pro subscriptions are billed in advance monthly or annually and renew automatically until canceled. Checkout identifies the price, tax and payment terms. Stripe processes payment-card details. We give at least 30 days’ notice by email before a renewal at an increased price. Cancellation stops future renewals and preserves paid access through the paid period; partial periods and unused allowances are non-refundable except as required by law. Failed payment may suspend paid features.

Moving to the free plan does not delete saved content: existing Items remain readable and existing sharing links work, while actions above the free allowance are refused. Account closure immediately blocks further Library use and then deletes distributed records in the background, ends the subscription and deletes the sign-in account.

The common copyright-notice procedure applies. Identify the exact nnu.us URL, Space address, Share URL, legacy slug or Item when known. Notices and Counter-notices may be forwarded, including contact information, to the affected party or relevant provider. Removing a retained Artifact or link does not remove the original third-party source. We may restrict sharing, Watches or repeat-infringer accounts and accommodate standard technical measures required by law. The applicable statutory designated-agent directory entry controls any statutory agent designation; the common legal contact is our public copyright contact.

Section 11’s JAMS arbitration provisions apply. If 100 or more substantially similar demands are filed within 30 days by the same firm or coordinated group, they are administered in batches of 100 with one arbitrator and one set of fees per batch, subject to mandatory law. An opt-out notice within 30 days includes your name, address and a clear opt-out statement; an account email helps locate the agreement but is not an additional prerequisite for nnu.us.

TrainShell

train.sh

Connected hosts and actions

Use only infrastructure, accounts, repositories, data, credentials and provider access you are authorized to control. You retain your files, code, prompts, datasets, logs, secrets and model artifacts; the limited service license permits handling them to provide, secure, maintain, support and improve the requested service. TrainShell does not intentionally use this content to train its own foundation models.

Review commands and agent actions: a workflow can execute code, delete or modify files, provision resources, use paid compute or send data to a connected service. Provider charges and terms can be separate. Do not resell a managed service or share access commercially without written approval. Checkout or a signed order identifies any subscription, prepaid or usage charges and applicable refund commitments.

Liability and disputes

TrainShell’s aggregate liability cap is the greater of US$100 and fees paid during the preceding 12 months, replacing the common cap, subject to non-excludable liability. After 30 days of good-faith informal resolution, covered disputes proceed individually before one arbitrator in Wilmington, Delaware, in English under AAA Commercial Rules or Consumer Rules where applicable. Small-claims proceedings and eligible urgent intellectual-property, confidentiality or security relief are excepted. The arbitrator decides formation, applicability and other arbitrability questions except that a court decides class-waiver enforceability; an unenforceable class claim is severed to court while other claims remain in arbitration.

You may opt out within 30 days of first accepting the arbitration agreement or a material update to it by emailing legal@gridheap.com with subject “Arbitration Opt-Out”, your full name, account email and a clear statement. A separate jury-trial waiver survives an arbitration opt-out to the extent lawful; mandatory rights remain. Non-arbitrated disputes belong in the state or federal courts in New Castle County, Delaware, subject to mandatory law.

heap.page

heap.page

Use heap.page for lawful personal or internal business access. Do not commercially resell Premium access, systematically mirror or republish protected service content, or extract it to build a competing service without authorization, except as applicable law permits. Keep account and Agent credentials secure and revocable. News, alerts, rumors and source interpretations may be incomplete or inaccurate and are not professional advice.

Premium subscriptions renew monthly or annually at the accepted checkout price until canceled. Cancellation takes effect at the end of the paid period. Payments are non-refundable except as required by law or the accepted checkout terms; duplicate or incorrect charges can be reviewed. Stripe processes card details. Section 11’s JAMS arbitration provisions apply, including the opt-out and mandatory exceptions. Substantially similar demands filed by the same firm or coordinated group, numbering at least 100 within 30 days, use batches of 100 with one arbitrator and one set of fees per batch, subject to mandatory law.

Outseek

outseek.xyz

Career listings and résumé assistance

Career listings and descriptions may come from employer or third-party sources and may be incomplete, delayed, changed or closed. Check the declared application destination for current requirements. A general company careers link is a recruiting entrance and does not confirm that the listed vacancy is available there. Application buttons open the employer or application-service destination; Outseek does not submit an application or résumé on your behalf, make hiring decisions, or guarantee an interview or offer. The destination’s own terms apply to the application you submit there.

Résumé matching provides evidence and suggestions, not a hiring probability or a decision about your suitability. AI matching and polishing can be inaccurate or change the meaning of your text. Review suggestions against your actual experience and do not add unsupported qualifications or achievements. A polishing result is a preview: applying it changes the current draft, and cloud saving is a separate action. You retain your rights in your résumé; the common content provisions permit only the processing needed for the requested service, subject to the Privacy Policy. Signed-in résumé saving and deletion are private account features as described there.

The following software-directory, promotion and payment provisions concern the former software service and any continuing rights or obligations; these features are no longer offered.

Directory, ownership and paid placement

Public-source evidence, product pages, needs, translations and matches are informational and may be incomplete, delayed or inaccurate. A score, listing or match is not an endorsement. DNS verification establishes domain control at the time checked, not trademark ownership or product quality. You retain submitted content rights and grant the limited hosting, formatting, translation, display, moderation and retention rights necessary to operate the requested feature. Do not bypass access, ownership, consent, payment, source or rate-limit controls or manipulate evidence, Natural Heat or measurement.

Where offered, a featured product listing costs US$99 for 30 consecutive days after Stripe verification and activation. An enabled product campaign costs US$49 for eligible users subscribed to offers for that product when payment is confirmed; price does not vary with recipient count. Checkout supplies currency, tax and accepted order terms. Sponsored placement is labeled and appears before organic matches in its eligible listing area. Payment does not change Natural Heat, natural scores or organic match order; paid-promotion observations are excluded from the natural trend calculation.

You must be authorized for the product, comply with ownership/risk checks and supply lawful, accurate, supported claims and offer terms. We may reject, pause or remove a violating placement. Campaign recipients must remain subscribed and eligible at sending time. Purchasing a campaign does not disclose member emails, identities or recipient lists to a merchant. No audience, inbox placement, delivery, traffic, click, conversion or revenue outcome is guaranteed.

Payments and disputes

Fees are final after verified payment and activation or commencement, except as law requires or agreed in writing. We investigate duplicate charges, an incorrect verified amount or failure by Outseek to activate or begin the purchased service. Lower performance, voluntary cancellation, unused time, changed rankings, recipient unsubscribes, filtering, unavailable destinations or removal for your breach do not alone create a refund entitlement. Stripe and your bank determine settlement of an approved refund. A refund does not automatically extend or restore a placement; a full refund, chargeback or reversal may revoke it.

For payment review, provide the checkout email, order/campaign or Stripe session reference, date, amount and issue through product support, without credentials or full card details. Section 11’s JAMS arbitration provisions apply. At least 100 substantially similar demands within 30 days by the same firm or coordinated group use batches of 100, one arbitrator and one set of fees per batch, subject to mandatory law.

Tokens.Pay

tokens.pay

Prepaid API credit and keys

Tokens.Pay issues prepaid credit and keys for the model catalogue through internal AI Runtime. Protect keys and machine-payment tokens, which authorize operations within their granted scope until revoked or expired. A new secret is shown once and cannot be recovered. You may build applications for end users within provider requirements; do not resell raw keys or a standalone API gateway without authorization.

Top-ups are US$5–US$500 in US$5 steps. A 10% service fee is added: a US$50 top-up costs US$55 and grants US$50 of usable credit. The fee is not credit; usage consumes credit at the published catalogue rate without another usage fee. Paid credit has no expiry, earns no interest and is not money, a deposit or transferable cross-product value. There is no subscription or automatic top-up; each purchase requires approval. Discretionary promotional credit is non-refundable and can be restricted or removed for abuse or payment reversal.

Refunds and closure

Within 14 days of payment, unused paid credit is refundable with its corresponding service fee. If all credit is unused, this includes the full 10% fee; after partial use, the refund includes unused paid credit and the proportional fee. Promotional credit is excluded. Billing errors and service failures may be corrected outside that window. Closing an account does not automatically forfeit unused paid credit; discontinuation or suspension unrelated to your breach can require refunding the unused paid portion even after 14 days.

We aim to submit approved refunds to the original payment method within five business days; bank settlement is outside our control. Disputed credit may be suspended. A buyer-win chargeback removes it; a company-win can restore credit on request rather than automatically. There is no double recovery. Material changes require applicable advance notice, do not retroactively remove accrued credit rights or govern an already notified dispute, and rejection of a material change can permit refund of unused paid credit.

To request a Tokens.Pay refund, contact support@gridheap.com with your account email, payment reference and purchase date. Do not send payment credentials or API key secrets.

Content and disputes

You retain Input rights. To the extent permitted, we assign any rights we hold in Output to you; independent third-party rights remain. The limited service license supports requested processing. Grid Heap and internal AI Runtime do not train models on request content; the selected external provider’s terms and settings govern its own processing.

Section 11’s JAMS individual arbitration terms apply, with no batching requirement for Tokens.Pay. Different people’s claims cannot be consolidated without everyone’s consent. Consumer fee standards and mandatory rights apply. A court decides class-waiver, fee, pre-arbitration-condition and agreement-version issues. An unenforceable class restriction is severed to court while enforceable individual claims remain in arbitration. The 30-day opt-out and small-claims/intellectual-property exceptions remain available.

Embeddings

embeddings.app

Embedding API and document retrieval

Access keys are scoped to the workspace and prepaid credit issued. Rates are stated per million NFC-normalized UTF-8 input bytes, separate from provider token pricing; only new, uncached inputs are billed. Credit is reserved before provider dispatch. Uncertain outcomes are held for reconciliation and are not automatically retried. No automatic renewal or top-up is enabled. Manual invoice funding is available; a listed or implemented checkout does not establish that self-service payments are enabled. Refunds of unused credit are assessed against completed usage, payment fees, the accepted order and mandatory rights.

You must have authority to submit and index the source material. Model licenses and provider requirements apply to the selected model. Vector similarity does not prove identity, truth, lawfulness or suitability. Lawful evaluation, interoperability work and research are permitted even when comparing products, overriding a broader common restriction to the extent necessary for those uses. These Terms do not create a DPA or regulated-data compliance commitment; a separately executed agreement controls its scope.

Embeddings’ aggregate liability cap is the greater of US$100 and fees paid in the preceding 12 months, subject to mandatory liability and remedies. There is no arbitration requirement for Embeddings. Send a written dispute notice through the common legal contact and attempt good-faith resolution; unresolved disputes may proceed in the competent courts in Delaware, subject to mandatory consumer rights and urgent relief.

Markov Now

markov.now

Markov Now presents informational probabilities and public event evidence from third-party prediction markets. It does not accept wagers, place trades or operate a betting service. Probabilities are estimates and may be delayed, incomplete or inaccurate; check the original source, event definition and resolution rules. Content is not financial, investment or legal advice or a recommendation to buy, sell or wager. Alerts are not a time-critical delivery service and may fail or arrive late. Use only addresses you are authorized to enroll.

Cowork Town

cowork.town

Each organization has its own town. Connect only devices, projects, accounts and agent runtimes you are authorized to use. Organization permissions govern shared projects and conversations. A permitted task can run on a connected device, read or change project files, execute tools and incur charges under the connected runtime or provider agreement. Review capabilities and task instructions before enabling control. Revoking or stopping a connection does not recall completed actions or content already received by authorized teammates.
